Consulting Agreement

This is an offer to provide consulting services, under your direction, to your organization. You may engage my services at your discretion, use as much or as little of my time as you wish, and may terminate my services without notice, beyond payment for all services provided. The amount of service I provide, and the priority of my activities will be determined by you, or by persons you designate.

As a Certified Public Accountant my services will be performed in a professional and confidential manner. If my work, or the work of any staff I am asked to supervise, would lead to inaccurate, misleading, or improper financial results or reporting, we must work together to remedy the situation. If it cannot be repaired promptly and reliably, my work for you will terminate immediately - my CPA license provides credibility to the records produced under my guidance, and I cannot afford any risk to that license.

My work for you is as an independent consultant. I will continue to work for other firms before, during, and after our engagement. I will never share your confidential information or business processes with other firms. In addition to protecting your data, any work produced for you, such as work papers, remains your property. To retain my status as a consultant, my total services must be less than 1,000 hours in a year. I do not expect any benefits, holidays, or other compensation other than pay for time worked. Taxes do not need to be withheld - I pay both the employer and employee portion of Social Security and Medicare. In addition to my time, I will bill you for direct expenses, as approved in advance by you, such as postage and out of area travel.

My compensation may be handled in your choice of two ways:

  1. Pay similar to routine payroll - I will bill you each month, for work performed that period, and expect payment "promptly". Since I have become an independent consultant, most of my customers prefer this option. With no retainer, I will assume you have chosen this option.
  2. Corporate consulting traditions - A retainer (typically 3-6 months estimated billing) will be paid in advance. Monthly invoices will be provided, payable in 30 to 60 days. If at any time the amount owed exceeds the retainer, work is immediately suspended until additional funds are provided. This how I was expected to work when I was with larger firms.
